Terms of Service

1. Acceptance of Terms
By accessing or using Reach Seats (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, do not access or use the Service.
2. Description of Service
Reach Seats is a software-as-a-service (SaaS) platform that connects to your organization's third-party software providers (including Microsoft 365, Google Workspace, Slack, Freshservice, GitHub, Zoom, Jira, Figma, Notion, and Zendesk) via read-only API access. The Service identifies inactive or unused software seats and surfaces estimated license waste to help organizations optimize software spending.
The Service currently operates in a read-only capacity. It does not modify, deprovision, or otherwise alter any user accounts or licenses in connected third-party systems unless you explicitly enable license management features (where available).
3. Accounts and Organizations
You must create an account to use the Service. Each account belongs to an organization workspace. The user who creates an organization is designated the Owner and is responsible for managing members and integrations.
You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Attempt to gain unauthorized access to any part of the Service or its infrastructure.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Resell or sublicense access to the Service without written permission.
- Use the Service to harvest or collect data about third parties beyond your own organization's license data.
5. Third-Party Integrations
To use the Service, you authorize Reach Seats to connect to third-party platforms on your behalf using OAuth tokens or API credentials you provide. These connections are used solely to read user and license data for your organization.
Reach Seats is not affiliated with Microsoft, Google, Slack, Freshservice, GitHub, Atlassian, Zoom, Figma, Notion, or Zendesk. Use of those platforms is governed by their respective terms of service. You are responsible for ensuring you have the right to connect those platforms to Reach Seats and share organizational data with us.
6. Data and Privacy
Your use of the Service is also governed by our Privacy Policy and, where applicable, our GDPR Data Processing Addendum. By using the Service you consent to the collection and use of information as described in those documents.
7. Subscription and Payment
The Service is offered on a subscription basis. A free tier is available with limited functionality. Paid plans are billed monthly or annually as specified at the time of purchase. All fees are non-refundable except as required by law or as explicitly stated in a separate agreement.
We reserve the right to change pricing with 30 days' advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
8. Intellectual Property
The Service, including all software, designs, text, and graphics, is the property of Reach Seats and is protected by applicable intellectual property laws. These Terms do not grant you any rights to use Reach Seats's trademarks, logos, or other brand elements.
You retain all rights to the data you bring into the Service. By connecting your integrations, you grant Reach Seats a limited license to access and process that data solely for the purpose of providing the Service to you.
9. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any data it surfaces is accurate or complete.
License waste estimates are approximations based on publicly available pricing and heuristic inactivity detection. They should not be treated as authoritative financial reporting.
10. Limitation of Liability
To the fullest extent permitted by law, Reach Seats shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data or goodwill, resulting from your use of or inability to use the Service.
Our total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid to Reach Seats in the three months preceding the claim.
11. Termination
You may terminate your account at any time by contacting us or through the account settings. We may suspend or terminate your access if you violate these Terms, fail to pay applicable fees, or if we discontinue the Service, with reasonable notice where possible.
Upon termination, your right to use the Service ceases immediately. We will delete your organization's data within 30 days of termination, unless we are required to retain it by law.
12. Changes to Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or via a notice in the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the Czech Republic. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of the Czech Republic, unless mandatory local law requires otherwise.
